Governance structure
Sweco’s governance structure is designed to ensure transparency, accountability and effective decision-making across the Group. It is based on clear roles and responsibilities and governed by Swedish legislation, the Swedish Corporate Governance Code and Sweco’s internal policies.
Shareholder governance
The Shareholders’ Meeting is Sweco’s highest decision-making body. At the Annual General Meeting (AGM), shareholders decide on key matters such as the adoption of financial statements, dividends, election of Board members and auditors, remuneration to the Board and auditor, and decisions related to incentive programmes and the Nominating Committee. Shareholders registered on the record day and who provide timely notice are entitled to participate and vote.
Board of directors and committees
The board of directors is responsible for Sweco’s organisation, strategic direction and overall supervision of the company’s operations. This includes oversight of financial and sustainability reporting, internal control and risk management. The board adopts rules of procedure annually and evaluates its own performance on a regular basis.
The board is supported by two committees:
Audit Committee – oversees financial and sustainability reporting, internal control, risk management, internal audit and the statutory auditor. More about the Audit Committee.
Remuneration Committee – prepares matters relating to remuneration, employment terms and incentive programmes for senior executives. More about the Remuneration Committee.
Nominating Committee
The Nominating Committee represents Sweco’s largest shareholders and prepares proposals for board composition, Board and auditor remuneration and other election-related matters ahead of the AGM. President and Executive Team
The board delegates responsibility for day-to-day operations to the President and CEO, who leads the Executive Team. The Executive Team is responsible for implementing the group’s strategy, managing performance and ensuring progress on financial and sustainability goals across the organisation. Business areas and decentralised governance
Sweco Group’s operations are organised into eight geographical business areas, each led by a Business Area President and a Business Area Finance Director. Governance follows Group-wide rules for division of responsibilities, internal control and reporting, while Sweco’s decentralised model ensures that decisions are made close to clients and projects. Regular board and reporting meetings support alignment and consistent governance across the Group.
Internal control, risk management and compliance
Sweco’s governance framework is supported by a comprehensive system for internal control, risk management and compliance. Group-wide policies define responsibilities for financial reporting, sustainability, ethics, information security and other key areas. Information Disclosure
Sweco provides timely, consistent and transparent information to shareholders, analysts and other stakeholders through financial reports, press releases and presentations published in Swedish and English on the corporate website.
