According to the financial legislation in force, specific rules applies to persons discharging managerial responsibilities at a listed company and persons closely associated with these persons. A person discharging managerial responsibilities is a person that is a member of the administrative, management or supervisory body of that entity (board members, CEOs and their deputies), or other senior executive who has regular access to inside information relating directly or indirectly to that entity and power to take managerial decisions affecting the future developments and business prospects of that entity (for example, finance directors, sales directors and human resources directors).
Persons discharging managerial responsibilities and persons closely associated with them shall report transaction in the entity’s shares, debt instruments, derivatives or other financial instruments that are linked to that entity to both the entity and to the Swedish Financial Supervisory Authority’s PDMR transactions register. The Swedish Financial Supervisory Authority’s PDMR transactions register is a public register.
